These Terms of Service ("Terms") govern your access to and use of the CCI Docs documentation platform and related websites and services (collectively, the "Service") operated by Cassell Consulting, Inc. ("CCI," "we," "us," or "our").
By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
CCI Docs is a hosted documentation platform that allows organizations to publish, manage, and share documentation and related materials. Features may vary based on subscription, configuration, and user role.
We may modify, suspend, or discontinue parts of the Service at any time, including to comply with law, improve security, or address abuse.
Access may require an account provided through our authentication partner(s). You agree to provide accurate information and keep your credentials secure. You are responsible for activity that occurs under your account, except where caused by CCI's gross negligence or willful misconduct.
Organizations may invite users, assign roles, and control access to content. Administrators are responsible for managing membership and permissions.
You retain ownership of content you submit to the Service ("Customer Content"). You grant CCI a non-exclusive, worldwide license to host, reproduce, process, display, and distribute Customer Content solely to provide, secure, and improve the Service for you and your authorized users.
You represent and warrant that you have all rights necessary to submit Customer Content and that Customer Content does not violate law or these Terms.

The Service, including its software, branding, and documentation (excluding Customer Content), is owned by CCI and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
The Service may integrate with third-party services (for example, authentication providers, cloud infrastructure, analytics, and payment processors). Your use of third-party services may be subject to separate terms and privacy policies.
If you receive non-public information about CCI or other users, you will use reasonable care to protect it and use it only as permitted.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CCI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF CCI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID CCI FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID CCI.
Some jurisdictions do not allow certain limitations; in those jurisdictions, CCI's liability will be limited to the fullest extent permitted by law.
You will defend, indemnify, and hold harmless CCI and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of Customer Content, your use of the Service, or your violation of these Terms or law, except to the extent caused by CCI's gross negligence or willful misconduct.
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if we discontinue the Service (where reasonably practicable, we may provide notice).
Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive.
These Terms are governed by the laws of the State of Washington, excluding its conflict of law rules. The state and federal courts located in Clark County, Washington will have exclusive jurisdiction for disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.
These Terms constitute the entire agreement between you and CCI regarding the Service and supersede prior agreements on the subject. If any provision is unenforceable, the remaining provisions remain in effect. CCI's failure to enforce a provision is not a waiver. You may not assign these Terms without CCI's consent; CCI may assign them in connection with a merger, acquisition, or sale of assets.
